2. Business customers only

The SetupRobotics webshop is intended exclusively for business customers (B2B).

By placing an order, the customer confirms that the purchase is made on behalf of a business or other professional organisation and not as a consumer.

Consumer withdrawal rights and other mandatory consumer-protection rules therefore do not apply to purchases made through the webshop.

3. Prices and VAT

Prices shown on the webshop are exclusive of VAT unless expressly stated otherwise.

For delivery in Denmark, Danish VAT is charged in accordance with applicable rules.

For qualifying B2B supplies to another EU country, Danish VAT may be deducted where:

  • the customer's VAT number is valid;
  • the delivery is to another EU country;
  • the other legal requirements for VAT-exempt intra-EU supply are met.

SetupRobotics may validate the VAT number through official VAT-validation services and may require additional documentation.

If the VAT status cannot be verified or the billing, VAT and delivery countries do not provide a sufficiently clear basis for automatic processing, the order may be stopped for manual review.

Exports outside the EU may be supplied without Danish VAT where the legal requirements for export treatment are fulfilled and appropriate documentation can be retained.

4. Orders

An order submitted through the webshop is an offer to purchase the selected products.

SetupRobotics may reject or request clarification of an order in cases including:

  • incorrect pricing or product information;
  • unavailable products;
  • failed payment;
  • invalid or unverifiable VAT information;
  • suspected fraud or misuse;
  • export, sanctions or other legal restrictions.

An order is binding on SetupRobotics once it has been accepted.

5. Payment

Online card payments are processed by Stripe.

Unless otherwise agreed, card payment is authorised and captured in connection with the order according to the checkout configuration in use at the time of purchase.

Payment by invoice may be offered to approved business customers by prior agreement.

6. Delivery

Products are delivered to the delivery address agreed in the order.

Shipping charges are shown during checkout or otherwise agreed before the order is accepted.

Delivery dates and lead times stated by SetupRobotics are estimates unless a specific delivery date has expressly been agreed as binding.

Partial deliveries may be made where reasonable.

7. Transfer of risk

Unless otherwise expressly agreed in writing, the risk of loss of or damage to the goods passes to the customer when the goods are handed over to the carrier for transport to the customer.

SetupRobotics arranges carriage to the agreed delivery address on the customer's behalf.

For special shipments, projects or international deliveries, SetupRobotics and the customer may agree a specific Incoterms 2020 rule. Where such a rule is expressly agreed, that rule takes precedence over the general provision above.

8. Inspection and complaints

The customer must inspect the goods within a reasonable period after delivery.

Visible transport damage, shortages or other immediately apparent defects should be reported to SetupRobotics without undue delay.

A complaint should include sufficient information to identify:

  • the order or invoice;
  • the affected product;
  • the nature of the defect;
  • relevant photographs or other documentation where appropriate.

9. Warranty

Unless otherwise stated for a specific product, SetupRobotics provides a 12-month warranty from delivery for defects attributable to materials or workmanship.

The warranty is based on normal industrial use of up to approximately one production shift per day.

The warranty does not cover, among other things:

  • ordinary wear and tear;
  • consumables and wear parts, including suction cups;
  • misuse or incorrect installation;
  • operation outside published specifications;
  • damage caused by external equipment, electrical faults, compressed-air contamination or other external conditions;
  • unauthorised modifications or repairs;
  • damage resulting from accidents or improper handling.

Where a valid warranty claim is accepted, SetupRobotics may, at its discretion and as appropriate, repair or replace the defective product or provide another reasonable remedy.

10. Returns

Products may not be returned solely because the customer changes its mind unless SetupRobotics has agreed to the return in advance.

Any agreed return must comply with the return instructions provided by SetupRobotics.

Custom-made, modified or specially ordered products may be non-returnable unless defective or otherwise expressly agreed.

11. Technical information

SetupRobotics endeavours to keep product descriptions, dimensions, specifications, compatibility information, drawings and other technical information accurate.

Minor changes and improvements may be introduced without notice where they do not materially affect the agreed function of the product.

The customer remains responsible for verifying that the selected product is suitable for the customer's machine, robot, process, environment and intended application.

12. Limitation of liability

To the maximum extent permitted by applicable law, SetupRobotics is not liable for indirect or consequential losses, including:

  • loss of production;
  • loss of profit;
  • loss of revenue;
  • loss of business;
  • loss of data;
  • loss arising from production stoppage or downtime.

SetupRobotics' aggregate liability arising out of an individual order shall, to the extent permitted by applicable law, not exceed the amount paid by the customer for the product or order giving rise to the claim.

Nothing in these Terms limits liability where such limitation is prohibited by mandatory law.

13. Force majeure

SetupRobotics is not liable for delay or failure to perform caused by circumstances beyond its reasonable control, including for example:

  • natural disasters;
  • war or civil disturbance;
  • strikes;
  • epidemics or governmental restrictions;
  • transport disruption;
  • failure of suppliers or utilities;
  • shortages of components;
  • cyber incidents or telecommunications failures outside SetupRobotics' reasonable control.

Performance will resume as soon as reasonably possible after the event has ceased.

14. Intellectual property

All rights in SetupRobotics products, drawings, CAD files, documentation, software, trademarks and other material remain with SetupRobotics or the relevant rights holder unless expressly agreed otherwise.

Providing documentation or files to a customer does not transfer intellectual-property ownership.

15. Governing law

These Terms and any agreement between SetupRobotics and the customer are governed by Danish law.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

16. Jurisdiction

Any dispute that cannot be resolved amicably shall be submitted to the competent Danish courts, unless the parties have expressly agreed otherwise in writing.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in force to the extent permitted by law.

18. Changes

SetupRobotics may update these Terms from time to time.

The Terms applicable to an order are the version in force when the order is accepted, unless otherwise agreed in writing.
